Article 1 The client commits to always promptly pay the compensation agreed upon with Niels Vermeiren (constituting an obligation to achieve a result). The payment term is 15 (fifteen) calendar days from the date the invoice is sent to the client. Payment will be made via transfer to the account number provided by Niels Vermeiren or in accordance with any other specified instructions.

If payment is not received by Niels Vermeiren in a timely or complete manner, after the expiration of the payment term, default interest will automatically accrue without notice, equal to the reference interest rate of the ECB plus eight percentage points, in accordance with the Law of August 2, 2002, concerning the fight against late payment in commercial transactions. Additionally, a fixed compensation of 12 (twelve) percent of the unpaid amount is also due automatically, without notice.

Article 2 Each order implies acceptance of these general terms and conditions by the client. The latest version of these general terms and conditions can be consulted at http://www.webmade.be/algemene-voorwaarden .If Niels Vermeiren changes his general terms and conditions, he will notify the client at the email address normally used by the client, at the client’s postal address, or by any other means. The client has a period of 15 (fifteen) calendar days after this notification to terminate the agreement by informing Niels Vermeiren at the email address niels@webmade.be (or any other email address used by Niels Vermeiren and communicated to the client) with a copy by mail to the postal address of Niels Vermeiren. If the client does not exercise this option, the client is deemed to tacitly agree to the changes to Niels Vermeiren’s general terms and conditions.

Article 3 The client must identify any visible defects within a forfeiture period of 3 (three) calendar days after the delivery of the relevant part of the assignment and notify Niels Vermeiren of such alleged defects clearly and completely by describing them, informing Niels Vermeiren at the email address niels@webmade.be with a copy by mail to the postal address of Niels Vermeiren. The client cannot report any visible defects to the contractor after the expiration of the forfeiture period mentioned in the previous paragraph of 3 (three) calendar days after the delivery of the relevant part of the assignment or without complying with the conditions described in the previous paragraph.

Article 4 If the client terminates the agreement before it can be carried out or during its execution, the client owes Niels Vermeiren a fixed compensation of 12% (twelve percent) of the total amount of the assignment, without prejudice to Niels Vermeiren’s ability to prove any additional damages. If the client is a consumer, they have the same right if Niels Vermeiren terminates the agreement before it can be carried out or during its execution and this is not due to the fact that the client has outstanding invoices for which the payment term has expired or that the client refuses to pay an advance if Niels Vermeiren requests it (Niels Vermeiren can decide completely at his discretion to request an advance).

Article 5 Any disputes concerning the execution of this agreement will be settled amicably between the two parties. If this is not possible, the courts of the district where the registered office of Niels Vermeiren is located are competent to hear the dispute, without prejudice to any mandatory consumer protection legislation that the client can invoke if they are a consumer.
